Terms of Service

1. Acceptance of Terms

By accessing or integrating Neai Labs' enterprise agentic infrastructure and APIs ("Service"), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of an enterprise or organization, you represent that you have the authority to bind that entity.

2. Enterprise Service Usage

Our platforms are engineered to deploy and orchestrate Context-Aware AI Agents. You are granted a limited, non-exclusive, non-transferable right to access and use the Service in accordance with your executed Master Services Agreement (MSA) or order form.

3. The Agentic Constitution & Guardrails

Neai Labs builds agents adhering to strict system-level guardrails (True Inescapable). You agree not to attempt to bypass, reverse-engineer, or maliciously prompt-inject the Service to override these architectural constraints.

4. Prohibited Uses

You may not use the Service to:

Generate or orchestrate actions that violate local, state, national, or international law.
Deploy agents for the purpose of malicious cyber-operations, automated phishing, or unauthorized system access.
Distribute malware or execute workflows that compromise external networks.

Neai Labs reserves the right to immediately suspend access for any tenant found violating acceptable use protocols.

5. Evidence Chains & Liability

Neai Labs provides 100% machine-readable evidence chains for agentic state changes (True ASSURED). However, AI systems are probabilistic. To the fullest extent permitted by law, Chuang Yao Cheng Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from decisions executed by autonomous agents integrated into your systems.

6. Uptime & SLA

Service Level Agreements (SLAs) regarding API availability and capability continuity (True HA) are governed by the specific subscription tier detailed in your enterprise contract. Maintenance windows will be communicated to your technical administrators.
